Terms and Conditions

 These Terms & Conditions ("Terms") govern your access to and use of the services provided by SmartWorks Solutions ("SmartWorks," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our services.


1. Scope of Services

SmartWorks Solutions provides project management consulting and Smartsheet solution design services to clients ("Clients") seeking assistance with their projects and workflows.


2. Client Responsibilities

  • Clients are responsible for providing accurate and complete information necessary for SmartWorks to deliver services effectively.
  • Clients are responsible for obtaining any necessary permissions, licenses, or consents related to the use of third-party tools or materials in connection with our services.


3. Service Delivery

  • SmartWorks will make commercially reasonable efforts to deliver services in accordance with the agreed-upon scope of work and timelines.
  • SmartWorks reserves the right to adjust project timelines or deliverables as necessary, provided that Clients are promptly notified of any changes.


4. Fees and Payment

  • Clients agree to pay SmartWorks the fees agreed upon in the service agreement or proposal.
  • Payment terms and methods will be outlined in the service agreement or proposal. Late payments may be subject to additional fees or interest charges.


5. Intellectual Property

  • SmartWorks retains ownership of all intellectual property rights in materials developed or provided in connection with our services, unless otherwise agreed upon in writing.
  • Clients may use deliverables provided by SmartWorks solely for their internal business purposes and may not reproduce, distribute, or modify such materials without our prior written consent.


6. Confidentiality

  • SmartWorks and Clients agree to maintain the confidentiality of any proprietary or confidential information shared in connection with our services.
  • SmartWorks will not disclose Client information to third parties without prior written consent, except as required by law.


7. Limitation of Liability

  • SmartWorks shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to our services, even if advised of the possibility of such damages.
  • In no event shall SmartWorks' total liability exceed the total fees paid by the Client for the services in question.


8. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of Georgia.
  • Any disputes arising out of or related to these Terms or our services shall be resolved through arbitration in the courts of Hall County, Georgia, in accordance with the rules of the American Arbitration association.


9. Amendments

  • SmartWorks reserves the right to modify or update these Terms at any time by posting the revised Terms on our website or notifying Clients directly.
  • Continued use of our services after the effective date of any modifications constitutes acceptance of the revised Terms.
